GA Wood Infestation

Seller shall provide Buyer with an Official Georgia Wood Infestation Report  from a licensed Georgia pest control operator dated subsequent to the Binding Agreement Date which covers all dwellings and garages located on the Property. In the event the Report reveals any active infestation from termites or the other wood destroying organisms listed in the Report, Seller agrees to have the termite company issuing the Report treat the infestation in accordance with the standards set forth by the Georgia Department of Agriculture.

Escalation Clause

In the event of multiple offers, Buyer agrees to pay $XXXX.XX more (net to seller) than any other offer presented to the Seller with comparable terms and conditions, so long as the other offer is an arms-length transaction and is presented to Buyer before OFFER DEADLINE DATE. In no event shall the Buyer pay more than $XXX,XXX.XX. Listing agent agrees to send a copy of the competing offer to the Buyer’s Agent. Upon receipt of the comparable offer, Buyer agrees to execute an addendum to this offer reflecting the final purchase price and amount of closing costs. Comparable terms and conditions shall mean similar financing contingency requirements, similar requests for seller concessions, ability to close in a similar time frame. This does not in any way bind or obligate the Buyer to counter upon receipt of any other offer.

Appraisal Gap

In the event the property appraises for less than the Purchase Price but more than $____________________, Buyer shall be deemed to have waived the appraisal contingency and shall fund the difference between the new loan amount and the Purchase Price up to $xx,xxx.(Insert the agreed upon maximum difference between appraised value and the actual purchase price).  In the event the property appraises for less than $___________________, all parties agree to negotiate the terms of an Amendment to Sales Price pursuant to the rights and obligations stated in the Conventional Loan Contingency Exhibit “___”.

ATACs as Notice to Terminate

In the event that a subsequent Amendment to Address Concerns with Property is not accepted by Seller and delivered back to Buyer prior to the end of the Buyer’s Right to Terminate as set forth in the Due Diligence provision of the Agreement, said Amendment to Address Concerns with Property shall serve as notice of termination of this Agreement upon expiration of the Right to Terminate period as set forth herein.

BBA Buyer Notice re: Commissions

Regarding the commission agreed upon herein, should the Listing Broker be sharing a commission with the Buyer's Broker equal to, or in excess of, the amount agreed upon herein the Buyer(s) shall not owe a commission to their Broker at the time of closing and Buyer's Broker will receive the amount shared by the Listing Broker as their full commission.

Waiving Appraisal Contingency

Conventional Loan

Buyer and  Seller acknowledge and agree that the Conventional Loan Contingency applies to the borrower’s ability to obtain financing. The Loan Denial Letter cannot be based solely upon the property’s failure to appraise.   The borrower’s right to terminate if the property appraisal is for less than the purchase price is limited to the terms set out in the Form 404 Conventional Loan Contingency Paragraph 11 Appraisal Contingency.  

 

USDA Loan

Buyer and  Seller acknowledge and agree that the Conventional Loan Contingency applies to the borrower’s ability to obtain financing.  The Loan Denial Letter cannot be based solely upon the property’s failure to appraise.  The borrower’s right to terminate if the property appraisal is for less than the purchase price is limited to the terms set out in the Form 413 USDA-RD Loan Contingency Paragraph 11 Appraisal Contingency.
